1. Acceptance of Terms
By accessing or using KIALS, you agree to these Terms of Service and any policies referenced in them. If you use KIALS on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not access or use the Service.
2. The KIALS Service
KIALS provides tools that help users upload learning materials and create spaced-recall study programs. The Service may include document processing, generated fill-in-the-blank questions, retention analytics, review schedules, dashboards, and related educational workflows.
KIALS is intended for learning, training, and study support. It does not replace professional judgment, qualified instruction, academic advising, medical guidance, legal advice, compliance review, or credentialing requirements.
3. Accounts and Eligibility
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate account information and to update it when needed.
You may not share access credentials, impersonate another person, bypass access controls, or use the Service if you are prohibited from doing so under applicable law or institutional policy.
4. Your Content and Uploads
You retain ownership of materials you upload to KIALS, subject to the rights you grant us to operate the Service. By uploading content, you represent that you have the rights and permissions needed to use that content with KIALS.
- Do not upload content you do not have the right to use.
- Do not upload confidential, regulated, or sensitive information unless your subscription and agreement with KIALS specifically permit it.
- Do not upload content that violates law, privacy rights, intellectual property rights, or institutional policies.
You grant KIALS a limited license to host, process, reproduce, transform, and display your uploaded content solely as needed to provide, secure, support, and improve the Service.
5. Generated Study Materials
KIALS may generate questions, prompts, summaries, schedules, and other study materials from your uploaded content. Generated outputs may contain errors, omissions, or inappropriate emphasis. You are responsible for reviewing generated materials before relying on them.
Generated materials are for personal study, training, and educational support. They should not be treated as authoritative professional, medical, legal, financial, regulatory, or safety guidance.
6. Acceptable Use
You agree not to misuse KIALS or interfere with the Service. Prohibited conduct includes:
- Attempting to reverse engineer, scrape, overload, probe, or bypass security controls.
- Using KIALS to create unlawful, harmful, deceptive, infringing, or abusive content.
- Uploading malware, malicious code, or content designed to disrupt systems.
- Reselling, sublicensing, or providing unauthorized third-party access to the Service.
- Using KIALS in a way that violates academic integrity, exam rules, or professional licensing requirements.
7. Trials, Subscriptions, and Payments
KIALS may offer free trials, paid subscriptions, organization plans, or usage-based pricing. Trial and subscription terms shown at checkout or in an order form are incorporated into these Terms.
Unless otherwise stated, subscriptions renew automatically until canceled. Fees are non-refundable except where required by law or expressly stated in a written agreement. You are responsible for taxes, payment method accuracy, and any charges incurred through your account.
8. Intellectual Property
KIALS, including the software, algorithms, interface, designs, documentation, trademarks, logos, and related technology, is owned by Know-It-All Learning Systems or its licensors. These Terms do not transfer ownership of KIALS intellectual property to you.
You may use the Service only as permitted by these Terms and any applicable plan or agreement.
9. Disclaimers
To the fullest extent permitted by law, KIALS is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted access, error-free outputs, specific educational outcomes, exam results, credentialing outcomes, or fitness for a particular purpose.
References to case studies, retention outcomes, or institutional results are provided for informational purposes. Individual and organizational results may vary.
10. Limitation of Liability
To the fullest extent permitted by law, KIALS and its owners, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, or business interruption.
Where liability cannot be excluded, KIALS' aggregate liability will be limited to the amount you paid for the Service during the twelve months before the event giving rise to the claim, or one hundred dollars if you used only a free service.
11. Suspension and Termination
We may suspend or terminate access to KIALS if we believe you have violated these Terms, created risk for the Service or other users, failed to pay fees, or used the Service unlawfully. You may stop using KIALS at any time and may cancel your subscription according to the cancellation process provided in your account or order terms.
